These Terms & Conditions (“Terms”) govern your access to and use of NexDesk (“NexDesk,” “we,” “us,” “our”), a subscription-based Telegram helpdesk bot service. By purchasing, accessing, or using NexDesk, you agree to these Terms. If you do not agree, do not use the service.

1) Service Overview
NexDesk provides a subscription-based Telegram helpdesk bot designed to help communities and teams manage support messages and tickets inside Telegram.
NexDesk may provide free onboarding/setup assistance, and activation may be:
- Self-serve via the customer portal inside Telegram (e.g., using commands such as
/mybots), or - Manually assisted by our team after payment.
We may update, change, add, or remove features over time to improve the service.
2) Eligibility and Account Responsibilities
You are responsible for:
- providing accurate information when purchasing and configuring the service,
- maintaining the confidentiality of any access or credentials you control (including admin access to your Telegram environment),
- ensuring your use of NexDesk complies with Telegram rules and applicable laws.
3) Plans, Pricing, and Payments
3.1 Pricing
NexDesk subscription plans range from 59 to 99 USDT/USDC per month (depending on the plan you purchase). The exact plan price and inclusions will be shown at the time of purchase.
3.2 Payment Method
Payments are accepted via USDT/USDC on the BSC network only.
You are responsible for:
- sending the correct token (USDT or USDC),
- sending on the correct network (BSC),
- following the payment instructions provided.
Crypto payments can be irreversible. If you send the wrong token, wrong network, or incorrect amount, NexDesk may not be able to recover the funds.
3.3 Network Fees
Where refunds are granted (if applicable under these Terms), network fees may apply. NexDesk may deduct unavoidable blockchain/network fees from the refunded amount.
4) No Auto-Renewal (Manual Renewal)
NexDesk does not auto-renew. You must manually renew your subscription via the customer portal within Telegram (for example, by using /mybots to view your bots and renewal options).
5) Grace Period, Suspension, and Reactivation
5.1 Subscription Term and Billing Dates
To keep pricing predictable and operations consistent, subscription terms run on fixed calendar dates as shown in the customer portal. Subscription time does not pause.
5.2 Grace Period
If your subscription expires, NexDesk provides a 3-day grace period.
5.3 Suspension for Non-Payment
If payment is not received by the due date (or by the end of the grace period), service may be suspended and the bot may stop working. The subscription term continues to run during any suspension and does not pause.
5.4 Reactivation
Service resumes once payment is received and the subscription is renewed via the customer portal.
5.5 Reason (Background Resource Usage)
This policy exists because even during suspension, NexDesk may continue to retain and host bot-related resources (such as infrastructure and stored service data) which still consume server resources and incur operating costs.
6) Ticket Limits and Usage Limits
Each plan includes a monthly ticket capacity (for example, 1,000 to 2,000 tickets per month, depending on your purchased package).
If you reach your plan limits, NexDesk may:
- restrict new ticket creation, and/or
- display a friendly notice to end users until the service is renewed or upgraded.
7) No Free Trial
NexDesk does not provide a free trial unless explicitly stated in writing for a specific promotion.
8) Refund Policy
8.1 No Partial Refunds
No partial or prorated refunds are provided.
8.2 Refund Window
Refund requests must be made within 14 days of payment OR once the bot is activated and working, whichever comes first, unless required by applicable law.
8.3 Eligible Refund Exceptions
Refunds may still be provided in these cases:
- Duplicate payment
- Billing/processing error
- Service not delivered due to our fault
- Service failure on our side that prevents you from using the bot, where NexDesk may either:
- extend your subscription to make up for downtime, or
- issue a refund if you choose not to continue and the service is not working at all.
8.4 How to Request a Refund
Email [email protected] with:
- your payment proof (transaction hash),
- your bot details (bot username/ID if available),
- a short explanation of the issue.
9) Acceptable Use (No Spam/Scams)
You agree not to use NexDesk for any illegal, harmful, or abusive activity, including:
- spam, scams, fraud, phishing, or impersonation,
- illegal content or illegal activity,
- harassment, threats, or abuse,
- activities that violate Telegram’s rules or applicable laws.
9.1 Enforcement and No Refund for Abuse
If we determine (based on reports, platform enforcement, or reasonable evidence) that your bot is being used for prohibited activity, we may suspend or terminate service immediately.
In such cases:
- no refunds will be provided, and
- any remaining subscription time is forfeited,
except where applicable law requires otherwise.
10) Data, Privacy, and Storage
NexDesk processes data required to operate the service. This may include:
- Telegram user IDs and usernames,
- messages and ticket transcripts,
- configuration details needed to operate the bot (including bot tokens where necessary),
- payment information such as transaction hashes (not your private keys).
Data is stored using Supabase (database/storage infrastructure).
11) Data Retention and Deletion Requests
11.1 Retention
- While your subscription is active, data is retained so we can provide the service.
- When your subscription becomes inactive, we will delete ticket/transcript content and service data within a reasonable period.
11.2 Client Deletion Requests (Even While Active)
Clients may request deletion of their data at any time (even while active) by contacting [email protected].
However, NexDesk may retain minimal records where necessary for:
- security and abuse prevention,
- billing verification and dispute handling,
- establishing, exercising, or defending legal claims,
- lawful requests by authorities,
- or where required by applicable law.
12) Service Availability and Third-Party Platforms
We aim to maintain good uptime and reliable service. However, NexDesk is provided on a best-effort basis and we do not guarantee uninterrupted operation.
NexDesk depends on third-party services and infrastructure, including Telegram and blockchain/network services. NexDesk is not responsible for outages, delays, or limitations caused by third parties or events outside our reasonable control.
13) Disclaimers
NexDesk is provided “as is” and “as available.” To the maximum extent permitted by law:
- we do not make guarantees that the service will always be error-free or uninterrupted,
- we do not guarantee outcomes (such as ticket resolution speed or customer satisfaction),
- we are not responsible for issues caused by Telegram or third-party outages.
14) Limitation of Liability
To the maximum extent permitted by law, NexDesk’s total liability for any claim related to the service is limited to the subscription fees you paid in the last 30 days before the event that caused the claim.
NexDesk is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of reputation, or loss of data, except where such exclusion is not allowed by law.
15) Ownership
You (the client) own your content (including your community messages and ticket content). NexDesk processes and hosts that data only to provide the service.
NexDesk retains ownership of the NexDesk software, branding, and underlying systems.
16) Suspension and Termination
We may suspend or terminate your access if:
- you violate these Terms,
- your bot is used for prohibited activity,
- your use creates security risks or harms NexDesk or others,
- payment is not renewed after the grace period.
You may stop using NexDesk at any time by not renewing.
17) Cancellation and Effect on Access
If you request early deactivation/cancellation:
- Before activation / within refund eligibility: if a refund is approved, access may be disabled upon refund.
- After activation / after refund window: the subscription normally remains active until the end of the billing period, but you may request early deactivation (no refund).
If your subscription expires and is not renewed, access may stop after the 3-day grace period.
18) Changes to These Terms
We may update these Terms at any time. Updates will be posted on our website. Continued use of NexDesk after changes means you accept the updated Terms.
19) Governing Law
These Terms are governed by the laws of the Republic of the Philippines. Any disputes will be handled under applicable Philippine laws and procedures.
